Therefore, you are a strong collaborator and provide technical guidance working with the local affiliates and external service providers to ensure compliance with policies and procedures, ethical practices, company values, and adherence to relevant laws and regulations.Key ResponsibilitiesYou manage all corporate secretarial obligations of the Group's legal entities, including annual filings, shareholder and board resolutions, changes in board composition, bylaws and setting up, liquidating, and merging legal entities in different jurisdictions in accordance with restructuring projects.You provide quarterly and annual reporting of compliance with corporate obligations, and you review, prepare, and manage the powers of attorney.A close partnership with Legal & Compliance colleagues, Finance, Tax, and the local affiliates to manage the local board activities and obligations to ensure appropriate oversight, governance and operational efficiency is an important part of your accountabilities.You are proactive and identify areas of improvement and process gaps, mitigating risks and implementing change including following procedures, monitoring controls, spotting key errors, to increasing consistency and efficiency.
In addition, you setup innovative and creative tools, systems, and programs to develop and train key stakeholders.You ensure all documents are properly saved and filed in the company document management system and ensure visibility and traceability.Skills & QualificationsYou have a postgraduate education in law and have a solid knowledge working in a law-firm or in-house department on corporate matters.
This includes managing corporate secretarial obligations, documentation, procedures and practices in different jurisdictions or equivalent tasks
