We're a friendly, motivated, and passionate bunch seeking a professional with relevant industry experience who can hit the ground running.JOB DESCRIPTION AND DEPENDENCYReporting to the CFO, the Senior Legal and Compliance Manager is responsible for providing accurate as well as timely support and advice on a worldwide level in the field of Corporate Law, Commercial Law, and Intellectual Property for all the brands and subsidiaries of Ignion Group.ACTIVITIESProviding legal assistance during all stages of the companies' lifecycles of the Group (creation, registration of corporate changes, approval of annual accounts, UBOs statements, etc.) with assistance of local lawyers / fiduciaries when needed.Providing legal assistance on management packages and group incentives.Drafting or reviewing corporate legal documents (minutes of shareholders' meetings, board of directors' resolutions, capital transactions, share transfer agreements, shareholders' agreements, delegation of authorities, powers of attorney, etc.) and any other related contractual document.Draft and revision of all kinds of commercial agreements: distribution, agency agreements, supply agreements, loan agreements, rental agreements, advertising agreements, non-disclosure agreements, etc. In general, all kinds of service agreements with clients or suppliers.Performing legal research in various local legislations and case laws.Taking part in the legal process and drafting of templates.Managing external and internal legal resources where required.Taking part in M&A process (draft and review of NDA, LOI, due diligence, shareholders' agreements and share purchase agreements, integration).Taking part in the design/delivery of training programs suitable for the needs of other relevant departments.In coordination with the External Compliance Officer: Coordinate with internal stakeholders the implementation and periodic updating of compliance protocols or procedures; monitor potential compliance risks to determine the appropriate control mechanism; monitor controls, work on improvements or create new controls where appropriate to strengthen risk coverage. In the near future, take over the Compliance Officer role and work with the external Compliance officer during its transition.Safekeeping of contracts, corporate books and other important documentation (public deeds, etc.).Manage legal and contract negotiations at an international level. Litigation experience a plus.EDUCATIONAL BACKGROUNDLaw degree in Spain.Master's degree in Corporate/Commercial Law would be a plus.Good knowledge of Spanish law is required.
