As a humble family business that started 70 years ago, popularly known as AMW, now a fully-owned subsidiary of Al Futtaim Group (AFG) of United Arab Emirates, is one of the pioneers in the Automotive industry in Sri Lanka.KEY REQUIREMENTSAttorney at LawA Degree in Law or an equivalent Professional Qualification (Legal Background)Minimum 10 years of experience in a similar work environmentExperience in company secretarial work, drafting and reviewing legal documentsKnowledge on labor law and conveyancing lawCapable of analyzing and thinking conceptuallyDemonstrated leadership skillsExcellent communications skills with a proficiency in English and SinhalaKEY DUTIES AND RESPONSIBILITIESResponsible for all legal matters of AMW group including representing the organization and its entities in the courts as required.Negotiate, draft, review and advise upon, all required contractual documentation.
Such documentation will include leases (commercial, residential, and retail), licenses, sales and purchase agreements, facilities management agreements, supply/service agreements, property management agreements, etc.Execute and follow up all Principal agreements, Dealer Agreements, Service Agreements while obtaining and negotiating best terms and conditions.Ensure compliance with applicable company law and related legal requirements.Attend to legal and other queries raised by AMW's partners/divisions/SBU's and other stakeholders and provide assistance and quality opinions/solutions for legal matters in consultation with the business.Attend to corporate matters as required, including company incorporation, registration and licensing, provision of company secretarial support for the meetings of Board of Directors and shareholders of Al-Futtaim Group companies, and maintaining and updating corporate/company documentation.Provide supervision for direct reports.Ensure that companies and contractual documentation are in compliance with all relevant and applicable laws and regulations.Liaising with Governmental Authorities in respect of any licenses and approvals that may be required for Group companies and their businesses.Actively assist in establishing good corporate governance practices for AMW Group, coordinating, and following through on good governance practices by the businesses while educating business leaders on the fundamentals of Corporate Governance and current laws, policies and procedures.
