What is a Local Resident Director? A local resident director is there to help a foreign owned company in your local country to manage certain local affairs to fulfill corporate responsibilities. This type of role is strictly non-executive and exists solely to satisfy a country's legal and regulatory requirements. The local resident director needs to comply with the local laws and regulations on serving as a director but has no operational obligations and responsibilities.

Act in good faith and with all honesty on behalf of the company's best interestConvene any mandatory annual meetings and file the annual returns, to the extent required by the local lawMaintain record of the Statutory Registers, to the extent required by the local lawAssist with opening a local bank accountRisk Mitigation In order to ensure utmost compliance and lower potential risks for both our local resident directors and clients, Flatfee has established the following requirements in order to accept a local resident directorship service request:
Our client's business must be clear and compliantAll Flatfee local resident directors must pass a background check (as allowed by local law)Our client must issue indemnification to Flatfee as well as the local resident director as part of the appointmentThe local resident director will act based on the local law in terms of voting, but the client will have control of the boardFlatfee will engage a local attorney to ensure the contract between the client and the local resident director includes terms for local formalities that clearly address requirements, responsibility, and liability of each party per local laws and regulationsTime Commitment This is a contract opportunity to earn additional income. Hours available are based on the number of client orders and projects, but in general much less than 5 hours a month with the exception of the onboarding.
