Summary: The Transactional Lawyer will provide legal support for commercial issues, including the implementation of company policy, adaptation to local market needs, the negotiation of contracts with relevant parties, and the analysis of applicable laws and regulations. This position will also include functions such as legal support for corporate, commercial work, acquisitions, and creating best practices.
Key Responsibilities Legal Advice and Contract Negotiation Provide legal advice and negotiate payment agreements with suppliers, including Payment Service Providers (PSPs), Alternative Methods of Payment (AMOPs), and Card Schemes, consulting with key stakeholders within Amadeus as necessary (e.g., DPU lawyers, Business Development, product management team).Collaborate with Airline Solutions, Hospitality, and Distribution lawyers and contract managers in drafting and negotiating payment agreements.Support the ongoing assessment of Outpayce becoming a regulated entity, including novation of existing supplier contracts as needed and assisting with inter-group arrangements and activities required for regulatory compliance.Participate in negotiations, where necessary in person, and instruct external counsel where necessary, managing related costs and provision of advice.Support document production and work with Amadeus/Outpayce business units to understand their requirements and help with prioritization.Act proactively to identify risk issues within Amadeus/Outpayce and escalate as required.New Products and Synergies Explore, understand, and advise on the development of new synergies following new acquisitions.Collaborate and advise on the design and development of new business models, products, and solutions.Document and develop the necessary supporting documents, templates, and analysis as needed.Templates and Processes Prepare and maintain template documents on databases.Establish and monitor internal and external procedures relating to payments contracts.Compliance Program Serve as the primary contact in payments legal for the Director of Compliance, Data Privacy, Security, and Payment Card Industry Data Security Standard (PCI-DSS) compliance programs.Advise and escalate to management strategic standard positions in Amadeus/Outpayce template documentation.Develop know-how tools, templates, and procedures to support risk management.Training and Know-How Offer training and guidance to business and legal teams on payment matters, contracts, and regulations.Coordinate with stakeholders on legal matters related to the Amadeus/Outpayce business unit.Capture and share lessons learned (e.g., workshops, with or without external counsel, reference materials, regular calls).Improve external counsel's support of internal training and know-how (articles, recommendations of resources and seminars).Liaise with the legal knowledge center on capturing training sessions and know-how material and sharing with other legal team members.Provide support on tracking and follow-up of work managed by other legal teams.About the Ideal Candidate University Degree in Law, master's degree in law (preferred).From 2 to 5 years of relevant work experience in big law, ideally in corporate and/or Mergers and Acquisitions (M&A) department (other departments are welcomed too).Contracts expertise.
