What You Can Expect Duties include preparation of any type of legal documents, document collection and review, coordinating all aspects of project intake and tracking and assuming responsibility for the maintenance of the project files and filing, supporting the department contract lifecycle management systems and related uploads, as well as coordination of outside counsels.
How You'll Create Impact Coordinate all aspects of the department's timely, complete and accurate responses to numerous simultaneous requests in project matters.
Assist in drafting correspondence, various contracts, amendments, legal letters, and other related documents in various areas (distribution agreements, sales agency agreements, sale and purchase with end-customers, consultancy agreement with healthcare professionals…).
Assist with the execution of agreements, letters and any other type of documentation to be signed whether externally or internally within the organization.
Assist the in-house legal counsel in charge of Business development projects (i.e.
: mergers and acquisitions, distribution or co-partnership agreements) in the different legal related tasks which can comprise supporting organizing legal information required during due diligence activities, drafting due diligence reports, as well as coordinating various aspects in relation with the preparation and execution of the related deal documentation.
Assist the in-house legal counsel in charge of Corporate activities by drafting some related documentation (shareholders' decisions, board's minutes, agenda and supporting in the execution and filling activities, including corporate documentation archiving.
Review and analyze documents submitted to the legal department.
Cross-check and validate information.
Organize and maintain accurate filing and archiving for all projects.
Accurate and timely maintenance of project status spreadsheet and contracts database.
Support uploading into Legisway (contract management system) agreements and related documents.
Coordinate with outside legal counsels on specific assignments, review preliminary advice and provide recommendations to the internal supervising attorney.
Act as liaison with various internal departments and personnel, which can include collaborate and follow-up on certain requests and ongoing projects.
Assist in developing, implementing and optimizing processes and systems to increase the efficiency of the Legal Department.
What Makes You Stand Out Paralegal certification and/or a bachelor's degree in law or equivalent.
Experience of 7+ years of paralegal, or similar experience supporting Legal functions.
Experience in the Life Sciences Industry (medical device ideally) is preferred, and/or in an international law firm.
Extensive knowledge of legal principles and practices, on legal research techniques, as well as on international contracting principles.
In-depth legal knowledge of various European jurisdictions, with international experience is a plus.
Must be proficient in Microsoft Word, Excel, Adobe PDF and PowerPoint.
Experience in working with a contract management system is a plus (i.e.
Legisway from Wolters Kluwer or equivalent).
Fluent Spanish and English.
French or German is a plus.
Your Background Time management skills to handle accurately multiple tasks and projects simultaneously.
Must be able to work in different languages (native Spanish and fluent in English mandatory, French or German is a plus).
Must possess strong organizational, interpersonal, and written communication skills.
Must be able to work in a team environment and report regularly to his/her manager and to the department lawyers directing him/her.
Strong research and analytical skills, with ability to review legal documents and organize numerous legal documents in complex matters.
Must be detail-oriented and accurate.
Must be proactive addressing problems and making continuous process improvements, with high sense of autonomy.
Must demonstrate follow-through on assignments, and ability to ensure accuracy and completeness without prompting from supervisors.
Travel Expectations None in the day to day.
To attend in person when required to department meetings being held.
