Job Description The Senior Legal Counsel will:
Advise on legal, regulatory and reputational topics across the full range of transactions, including corporate governance and commercial activities for all company legal entities in several jurisdictions. Manage several tasks including: confidentiality agreements, drafting and negotiation of enterprise software license, SaaS/Cloud and services agreements with customers (direct or indirect) and partners, legal advice to internal clients, including review and research of relevant law for vendor agreements, commercial leases and employment contracts; overview of internal compliance manuals, preparation of dedicated training sessions. Work closely with and advise Sales teams to support them in closing deals with our customers and/or partners. Work closely with and advise top management, the board of directors and all key functions: General Manager, CFO, Product Development, Engineering, Services, Human Resources, Marketing and Finance; external counsel in several jurisdictions as needed; external parties as needed to fulfill corporate reporting and filings. Assist with the maintenance of intellectual property portfolio and product development. Develop a thorough understanding of client businesses by taking part in relevant meetings, by developing ability to constantly support decisions as well as by building and maintaining long-term relationships in a proactive way. Participate in and support the development and presentation of training programs. Anticipate issues and estimate risks strategically, identify proactive solutions that will eliminate or mitigate risks. Provide support and guidance to HR in relation to contentious and non-contentious employee matters. Qualifications A qualified practicing legal counsel of Spain, with 5-10 years of experience as in-house counsel (experience at a law firm is an asset). Broad knowledge of general corporate law and excellent grasp of contracts/commercial law. Very good understanding of regulatory issues in particular data protection (including handling security questionnaires from customers and negotiating DPAs); along with good understanding of competition law and anti-bribery legislation. Substantial experience in the software licensing or technology industry (including cloud products). Experienced in dealing with a variety of matters, including (but not limited to) HR, property, vendor contracts, dispute resolution, fees recovery. Experienced in handling multi-jurisdictional workload (including managing appropriate standard regional templates), covering Europe and Latin America; exposure to other global markets is an advantage, including Middle East, Africa, Turkey, India and APAC. Experience of managing commercial leases with the help of outside counsel; handling lease procurement and termination projects, lease negotiation/surrender; and handling ancillary contracts for office fit-out and project management. Strong interpersonal skills to work as a team-player and to effectively work with people of diverse cultures across a variety of business disciplines and strong experience of working closely and effectively with sales and revenue recognition in high pressure sales driven environment and effectively managing quarter end workload. Native-level Spanish and Professional-level English; additional professional-level language skills are advantages (in particular, French, Italian, Portuguese). Ability to quickly grasp business objectives, prioritize and organize work autonomously. Excellent user of Microsoft Office Suite (Word, Excel and PowerPoint); experience with SharePoint would be a plus.
