Mission Provide legal advice and support in relation to M&A matters and joint ventures to EDP and its corporate structures, corporate bodies, businesses and activities, coordinating legal matters to offer reliable and agile value-added legal solutions.
Main Accountabilities To perform the activities defined below within the Center of Excellence of Legal M&A of EDP:
Efficiently assist and support in all aspects related to M&A transactions, joint ventures, asset rotation transactions and related activities in an international context. Assistance and support in all phases of a potential transaction: Non Disclosure Agreements, Process Letter, Non Binding Offer, Due Diligence, Binding Offer, and transaction documents.In such context, support in the coordination of the project legal due diligence and provide legal support and risk analysis on legal related issues.Support in the review, drafting, and negotiation of transaction documents such as asset purchase agreements, equity purchase and sale agreements, capital contribution agreements, shareholders agreements, services agreements, all in an international context.Provide support to coordinate with other internal teams including investments and M&A, finance, offshore, energy management, tax, environmental, permitting, and regulatory, to ensure that all legal issues and concerns arising from any of those areas in relation to a potential transaction are properly considered.Provide support in the coordination of external legal advisors in an international context in relation to any legal issue related to a potential transaction.Provide support in the coordination with the EDPR internal local lawyers in different geographies as well as with business teams regarding corporate and project requirements to ensure maximum value and appropriate risk management for EDPR and its shareholders.Identify legal critical project risk issues and communicate those risks to the appropriate members of the legal team or your supervisor for resolution and management.Other tasks and projects as assigned.Required Profile Qualification:
Law DegreeExperience: 3-5 years of experience in an international Law Firm or international company.3-5 years of previous international M&A work and international contracts.Specific requirements: Ability to read, write and speak professional English and Spanish fluently.
