Legal Counsel

Volvo Group España, S.A.U. is responsible for the sale of trucks in Spain & Portugal of the Volvo and Renault brands, and also Volvo Buses and Volvo Penta engines. 
Mission To provide high quality legal advice and compliance support to all business areas of the Company and to head office and wholly owned dealers in relation to customers, suppliers and distribution network, supporting the Legal and Compliance Director and work with the legal team to mitigate key legal risks. 
The position is a full-time position reporting to the Legal & Compliance Director Spain.
Main responsibilities ·       Legal Advisory: Provide strategic and practical legal advice to senior management and key stakeholders across different departments of the company on a broad range of matters, including corporate governance, commercial transactions, antitrust and GDPR/Privacy laws, drafting and negotiating contracts, assisting and ensuring the company's compliance with applicable laws and regulations. Contribute to all significant business changes, projects and development initiatives.
·       Contract Management: draft, review and negotiate a wide range of contracts including distribution agreements, service agreements, vendor contracts, NDAs, tenders and licensing agreements to ensure legal protection and business alignment.
·       Compliance and Risk Management: Oversee the company's legal and regulatory compliance with applicable laws, identifying potential legal risks and advising on mitigation strategies. This includes implementation and follow up of compliance trainings and ensuring best practices for employees and suppliers if required. Support in legal and compliance audits and controls regarding crime prevention program and other related compliance policies of the company (whistle blower channel, anticorruption policy, code of conduct). Provide legal training and work with other group counsel as and when required.
·       Litigation Management: Support and manage the litigation portfolio, coordinating and working with external counsels where necessary. Provide risk analysis and strategic advice regarding ongoing or potential legal disputes.
·       Corporate Governance: assist in the development, implementation and compliance of corporate governance procedures, providing advice on corporate legal matters to the governing bodies and shareholders. This implies drafting minutes of meetings, assisting in the granting and revocation of POAs as well as any required action in the notary and corresponding registries.
·       Legal Team member: contribute and be an active participant in the Legal Team, assisting the Legal & Compliance Director and the legal team in managing and resolving legal matters and preparation of reports, presentations for committees, as well as other legal documents. Assist to maintain and organized system for legal documenting, ensuring easy retrieval and access for the legal team as well as managing the legal budget efficiently.
·       Contribute to the Legal mission responsibilities: regulatory watch, legal risk alert, corporate governance and legal advice mainly on distribution law, competition law, data privacy, export control, commercial and contractual law.
·       Business Partnership: work closely with business partners to provide strategic and agile legal advice aiming to contribute to the Company's goals.
·       Work in accordance with Volvo Group standards of health, safety, quality and environmental care.
·      Perform other duties that may be reasonably requested including working for other business areas within the Volvo Group.

 Fluent spoken and written business English mandatoryRequired knowledge & experience: Education / Professional Qualifications required for the position:
·       University Law degree, ideally with specialization in Commercial, Distribution Law and /or Competition Law.
·       Member of the Bar Association.
·       Minimum of 7 years of relevant legal experience, preferably with at least 5 years at a lawfirm.
·       Knowledge and experience in advising on Distribution, Competition, Data Protection laws and contracts drafting, review and negotiation.
·       Knowledge of vehicle or trucks sector is a plus..
