Associate Company Secretary

Ebury Madrid - Hybrid: 4 days a week office based working, 1 day working from home

The Legal and Company Secretary Department at Ebury is core to the functioning of the Ebury Group. It provides front-line advice to all parts of the Ebury Group on legal, regulatory and governance matters which contribute to Ebury's growth every day.

We are looking for an enthusiastic and driven Associate Company Secretary based in our Madrid office who is keen to work in a fast-paced, dynamic and growing company. The successful candidate will provide high quality governance support to key stakeholders in Spain and across the Ebury network, and be pivotal to Ebury's development on a global scale. This role will enable the person who fills it to turn their hand to corporate governance and a variety of other matters, with a view to supporting their personal development. The person who fills this role will report to the Deputy Company Secretary.

Key responsibilities include assisting and administering with:

Statutory compliance for Ebury subsidiaries globally including updating statutory records in Diligent company secretarial software;

Preparation and circulation of certain subsidiary board and committee papers;

Arranging execution of company resolutions and associated logistics including notary and apostille where necessary;

Share capital management;

Group structure chart;

KYC requests from internal and external stakeholders;

Diligent board system;

Ad hoc strategic projects including, but not limited to, funding rounds, capital raises, acquisitions; and

Administration of European branches.

Key skills requirements include:

Ability to work independently, under pressure and to tight deadlines.

Educational background to degree level with preference in law.

At least 3 years experience in the corporate legal sector or in a legal and company secretary team.

Experience in a law firm or a financial services institution is preferred.

Fluent spoken and written English is essential.

Excellent verbal and written communication skills.

Excellent attention to detail.

A team player who works well with different personality types.

Excellent Google and MS Office knowledge, with an ability to become familiar with firm-specific programs and software.

Strong organisational, project management and problem-solving skills with impeccable multi-tasking abilities.

Exceptional interpersonal skills, and a friendly and professional demeanour.

Ability to handle confidential information.
