This position reports to the Idrica Board of Directors with a direct line to the Chief Executive OfficerQUALIFICATIONSA minimum of 5 years of professional experience with ethics and compliance issues, such as: anti-corruption laws and regulations (including the US Foreign Corrupt Practices Act), third party compliance, anti-fraud, trade compliance, antitrust/competition law compliance, privacy, conflict of interest and anti-harassment.Bachelor's Degree required; Master's Degree or Law Degree preferred.Professional compliance professional certification, such as CESCOM or CCEP-I.Spanish and English language proficiency.Unquestioned integrity and ethics in business and personal conduct.Strong grasp of current ethics and compliance best practices and industry standards.Previous experience in implementing and/or leading an Ethics and Compliance Program.Previous experience identifying and resolving ethics/compliance issues quickly and effectively, making timely and informed management calls with proven ability to drive operational excellence and developing and implementing compliance training, communication, policies, processes and procedures.Strong business acumen with ability to detect emerging ethics/compliance trends and develop appropriate responses.Strong interpersonal and collaborative skills with ability to interact and influence effectively at all levels of the organization.Superior communication skills, inter-personal skills, mature judgment and independent thinking.Ability to drive sustainable cultural and organizational change.Energetic and innovative self-starter.Ability to analyze and translate policy into practical business processes.Ability to operate with discretion, confidentiality, objectivity and independence.Strong analytical, process management and implementation skills.Ability to understand complex regulatory language and integrate requirements of various global requirements into a global program.A work history that demonstrates leadership, sensitivity to issues, strong facilitation and problem-solving skills.Demonstrated ability to lead programs/projects.RESPONSIBILITIESThe Chief Ethics and Compliance Officer is responsible for leading the development and implementation of a world class ethics and compliance culture, with programs, policies, and procedures to drive compliance with laws and regulations and is designed to detect, prevent, and correct noncompliance with applicable laws, regulations and policies. Key responsibilities include:Establishing, implementing and leading an effective Ethics and Compliance Program based on global best practices and includes, but is not limited to ethics, compliance, privacy, anti-corruption, trade compliance and anti-harassment;Driving proactive compliance leadership and engagement to ensure colleagues are responsible for compliance with policies, processes, controls and other initiatives;Developing and implementing policies (including the company's Code of Conduct), procedures and processes;Developing and implementing communications and training to promote awareness and understanding of expectations;Conducting risk assessment and mitigation activities;Driving ethics and compliance governance within the business;Developing, implementing and maintaining a method through which employees can raise ethics and compliance concerns, including being able to raise concerns anonymously.Promoting a business culture where employees are comfortable raising ethics and compliance concerns supported by policies, procedures and reporting channels;Leading and/or supporting investigations, ensuring matters are closed quickly with appropriate remediation;Developing and evaluating compliance metrics to identify trends and conduct root cause analysis;Developing, communicating and supporting business and company compliance initiatives and objectives;Developing/oversight of the company's trade compliance program;Liaising with internal Trade Compliance and Data Privacy Subject Matter Experts;Developing/oversight of the company's privacy program;Developing/oversight of the company's anti-corruption and anti-bribery programs including third party screening and monitoring, gifts meal, travel and entertainment, etc.;Developing/oversight of the company's antitrust program.Continuous monitoring to improve the Ethics and Compliance Program based on regulatory updates, trends and ethics and compliance developments including benchmarking of best practices;Setting and achieving the Ethics and Compliance Program's performance goals;Developing and managing the Ethics and Compliance Program's budget;Reporting on the Ethics and Compliance Program's performance to the executive management team and the board of directors;
