We embrace a strong risk culture and all of our professionals at all levels are expected to take a proactive and responsible approach toward risk management.As a Capital Finance and PDM Legal Analyst, you will:Advise in all types of challenging multijurisdictional M&A, investment, financing and private debt mobilisation matters and strategies working together with international business teams and clients with independence and responsibility.We need someone like you to help us in different fronts:Provide legal advice and be heavily involved with the capital finance team in:The structuring and negotiation of M&A transactions including preparation and drafting of contracts, review and negotiation of MoUs, SPAs, and SHAs, and support on capital markets/sectorial legal aspects related to the target.The negotiation and implementation of different financing/investment structures to make the investments.Monitor the participations in the companies through the life of the investment and advise in the exit.Provide legal advice and be heavily involved with the worldwide PDM business teams in the structuring and negotiation of all types of credit mobilisation initiatives and structures such as:Commitment letters and syndication letters.Facilities agreements.Sub-participations arrangements.Sale of portfolios.Securitisations.MPAs.Private credit insurances.NDAs and reliance letters.Creation of new products and initiatives to improve internal proceedings.Regulatory matters.Coordination with counterparties, whether internal (other departments and areas of the Group) and external (clients and legal counsels).EXPERIENCE3-6 years of relevant experienceEDUCATIONLaw degree (EU countries, UK or USA).
LLMs, MBAs, double-degrees and other degrees and studies are a plus.SKILLS & KNOWLEDGECommon sense, adaptability to changes and to the different profiles of the internal clients.Eagerness to learn and to work efficiently.Good negotiation and communication skills.High English level (in particular in negotiation, contract drafting and reading comprehension areas) as most of the work will be in English.
