Come find your more with Mohawk!What we need: Mohawk is looking for an ASSISTANT GENERAL COUNSEL - CORPORATE who can do more for all Mohawk Flooring North America brands across residential, distributor, and builder multifamily divisions.
This position is responsible for assisting the Deputy General Counsel in managing corporate legal matters with a focus on SEC reporting, public and private debt offerings, commercial borrowing, tax restructuring, MA, and compliance.What you'll do:Responsible for all SEC reporting obligations with support from the Deputy General Counsel, including principal responsibility for drafting proxy statements, reviewing and commenting on annual and quarterly reports, drafting periodic reports, and managing Section 16 filings.Responsible for finance transactions and credit agreement compliance with support from the Deputy General Counsel.
Provide commercial support for the treasury function.Coordinate tax restructuring and transfer pricing transactions.
Draft intercompany agreements and manage intercompany commercial and finance transactions.Support domestic and international MA activity.
Coordinate diligence and anti-trust and other regulatory filings.
Draft ancillary/principal documentation.Support the corporate secretary's office in connection with board meeting preparation.Work with internal staff to oversee the subsidiary maintenance program.Oversee the database for 200 subsidiaries and coordinate effective management of subsidiaries with the international legal team.Responsible for major corporate policies: sanctions, code of ethics, bylaws, insider trading, and implementing annual training.Implement corporate policies and initiatives.Complete special assignments at the request of the department.Conduct and oversee research into a variety of legal issues.
Provide analysis of legal and policy issues.Perform such other duties as required.What you have:Minimum of JD degree from a top-tier accredited law school.2 to 4 years of legal experience in a top-tier law firm or corporate law department.Thorough understanding of current federal securities laws.Ability to provide counsel and guidance on complex legal questions and inquiries.Understand business and appreciate the culture that exists within an organization and the reasoning behind key policies, practices, and procedures.What you're good at:Must be comfortable managing a large number of stakeholders across multiple disciplines and geographies.Must be highly organized and an effective project manager.The ability to manage a high volume of diverse tasks is essential.
